1. The agreement

AOSplane is operated by Voxasphere Software Inc., a Delaware corporation (“AOSplane”, “we”, “us”). These terms cover aosplane.com, the console at app.aosplane.io, the mobile app, the API and the command-line tools (together, the “Service”).

“You” means the person using the Service and, if you use it for an organization, that organization. By accepting these terms for an organization, you confirm you have the authority to bind it. If you have a signed order form or agreement with us, it takes priority over these terms where the two conflict. Our Privacy Policy explains how we handle data.

2. Accounts

You must be at least 18 and give accurate information when you sign up. You are responsible for everything that happens under your account and your API keys, so keep your credentials secure and tell us right away at legal@aosplane.io if you think someone has used them without permission. The admins of an organization control who can access its workspace and its content, and can close it.

3. What AOSplane does, and what it does not

AOSplane is a control plane: it runs third-party coding agents in isolated sandboxes, on the model-provider accounts you connect, within the budgets and approval rules you set.

  • Third-party agents and models. We do not make the coding agents or the models they use. Your use of them is also governed by their providers’ terms and usage policies, which you are responsible for following, and their providers bill you for model usage directly. We are not responsible for their availability, behavior or changes, and we may add or remove supported agents.
  • AI output needs review. Agents make mistakes. They can write incorrect or insecure code and take unexpected actions within the permissions you give them. You are responsible for reviewing their work before you merge it, deploy it or rely on it, and for deciding which actions require approval.
  • Budgets and gates are controls, not guarantees. A budget decides whether a new run may start based on reserved spend; it does not stop runs already in progress or limit what your model provider charges you. An approval gate applies only to actions you have configured to need approval.
  • Previews. Features labelled preview, beta or example are provided as they are, may change or be withdrawn, and are not covered by any service commitment.

4. Your content

“Customer Content” is what you and your agents put into or produce in the Service: repository code, instructions, prompts, agent messages and transcripts, command output, diffs, snapshots, attachments and pull requests. As between you and us, you own your Customer Content, including the output your agents produce for you.

You give us a worldwide, non-exclusive license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service, and as you direct, for example by sending it to the model provider or tool you connected. We do not use Customer Content to train AI models.

You confirm that you have the rights to the content and repositories you connect, and that your Customer Content does not break the law or anyone else’s rights. Do not put regulated data in the Service, such as health information or payment card data, unless we have agreed to it in writing. When you connect GitHub or another tool, you authorize us to access it and act on it as you configure, including creating branches and opening pull requests.

5. Acceptable use

You agree not to:

  • use the Service for anything illegal or to violate others’ rights;
  • create or spread malware, send spam, or attack, scan or probe systems you are not authorized to test;
  • use sandboxes for cryptocurrency mining, open proxies or other workloads that are not software development;
  • try to escape a sandbox, reach other customers’ data, or get around budgets, plan limits, metering or security controls (unless we have agreed to a security test in writing);
  • reverse engineer the Service except where the law allows it, or copy it to build a competing product;
  • resell the Service or share access outside your organization without our agreement, or open several free accounts to get around limits;
  • break the terms or usage policies of the agents and model providers you use; or
  • interfere with the Service or other customers’ use of it.

We may investigate suspected violations and suspend runs or accounts involved.

6. Fees and payment

  • Plans. Prices and limits are shown on our pricing page or in your order form. Subscription fees are charged monthly in advance. Platform usage, such as run time, sandbox resources and storage, is metered and charged against your credit or billed after it is used.
  • Usage credit. The monthly usage credit included in a plan applies to that month only. It does not roll over and has no cash value.
  • Model charges are separate. Your model provider bills you directly for model usage. We add no markup.
  • Payment. You authorize us and our payment processor, Stripe, to charge your payment method for recurring fees and usage. Enterprise customers may pay by invoice. Prices exclude taxes, which you pay.
  • Changes. We give at least 30 days’ notice of a price change, which applies from your next billing period.
  • Cancellation and refunds. You can cancel at any time; you keep access until the end of the period you paid for. Fees are not refundable except where the law requires.
  • Late payment. If a payment fails, we may suspend paid features after telling you.
  • Free plan. We may change or end the Free plan. A run that would exceed its limit does not start.

7. Third-party services

Services you connect, such as GitHub, Linear, Jira, Slack and your model providers, are governed by their own terms. We are not responsible for them, and if one changes or ends its service, features that depend on it may stop working.

8. Our rights and your feedback

We own the Service, its software, documentation and brand. While your account is in good standing, you may use the Service under these terms; we grant no other rights. If you send us feedback or suggestions, we may use them without any obligation to you.

9. Confidentiality and security

We treat Customer Content and your other non-public information as confidential, and you will do the same for our non-public information, such as unpublished pricing and plans. We protect Customer Content with the measures described in our Privacy Policy, and will tell you without undue delay if a security breach affects it.

10. Suspension and termination

You can stop using the Service and close your workspace at any time. We may suspend or end your access if you breach these terms, do not pay, put the Service or others at risk, or if the law requires it. We will give notice when we reasonably can.

When access ends, we delete Customer Content as described in our Privacy Policy. Your code stays in your own repositories, so publish any pull requests you want to keep before you close your workspace. Sections 4, 6 (for amounts owed), 8, 9, 11, 12, 13, 15 and 16 continue after termination.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANYTHING AN AGENT PRODUCES WILL BE CORRECT, SECURE OR FIT FOR YOUR PURPOSE.

12. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR YOUR OBLIGATIONS UNDER SECTION 13.

13. Indemnity

You will defend us against third-party claims arising from your Customer Content, your use of the Service in breach of these terms or the law, or your use of the accounts and services you connect, and pay the resulting damages and reasonable costs.

14. Changes

We may improve or change the Service. If we change these terms in a way that matters, we tell you by email or in the console at least 30 days before the change takes effect. If you keep using the Service after that, the new terms apply.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute relating to them or the Service will be heard only in the state and federal courts located in Delaware, and both parties consent to those courts. Either party may still seek urgent relief, such as an injunction, in any court.

16. General

  • Export and sanctions. You may not use the Service where US export or sanctions law prohibits it, or if you are on a restricted-party list.
  • Assignment. You may not transfer these terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control.
  • Entire agreement. These terms, the Privacy Policy and any order form are the whole agreement between us. If one part is found unenforceable, the rest still applies, and not enforcing a right is not a waiver of it.
  • Notices. We send notices by email or in the console. Send notices to us at legal@aosplane.io.
